Terms of Service
These Terms describe the managed integration service provided by ICS4BIZ & IT SRL (company reg. no. 40365405), operating as MEGZO Integrator Vortex. They set out the basis on which the service is provided; the binding agreement is the per-client contract you sign before go-live.
The service
MEGZO Integrator Vortex is a managed integration service. We connect the APIs of your ERP and your sales channels (marketplaces, online shops, price feeds, couriers and invoicing systems) and run the synchronisation in our cloud: catalog and price publishing, stock sync with oversell protection, idempotent order ingestion, invoice-PDF attachment and tracking/AWB hand-off. The service is billed as described on our pricing page.
What the service does — and does not — do
To set expectations precisely:
- We keep your ERP as the single source of truth and move data between it and your channels; we do not become the system of record for your business data.
- We never generate, issue or submit a fiscal or legal invoice, and we never file with e-Factura / ANAF or any tax authority. Where enabled, we only fetch an invoice PDF your ERP or invoicing service already produced and attach it to the channel order.
- We do not provide accounting, tax determination, GL postings, channel seller onboarding, payment processing or courier contracts — those remain with your ERP, your channels and your providers.
Reliability commitments
The platform is built around non-negotiable reliability invariants: idempotent order creation (one channel order never becomes two ERP Sales Orders), stock pushed with a safety buffer and reconciled to prevent overselling, retries with exponential backoff that honour rate limits, daily reconciliation sweeps, and a replayable dead-letter queue with alerting. These are how the service behaves by design.
Formal uptime targets, response times and any limitation of liability specific to your volume and channels are set out in the per-client service agreement signed before go-live.
Your responsibilities
To operate the service you provide and maintain valid credentials and API access for your ERP and channels, you ensure your use of each channel's API is permitted under that channel's own terms, and you act as the data controller for the order PII we process on your behalf (see the DPA). You are responsible for the accuracy of the catalog, pricing and mapping configuration you set in your vendor panel.
Fees & billing
Fees follow the published model: a per-connector monthly base, propagation overage beyond your tier's quota, and a thin NET-GMV toll above a per-tier threshold, with feed channels billed as a fixed monthly add-on. Billing terms — monthly in EUR, annual-prepay discount, daily proration, and ECB-rate conversion of multi-currency NET GMV — are set out on the pricing page and your order form. Nothing on the marketing site overrides a signed agreement.
Warranties & limitation of liability
As critical middleware that can carry real financial consequences (overselling, mispricing, delay), we sign a per-client agreement that includes warranties and a limitation of liability appropriate to your volume and channels. The specific caps, exclusions and remedies are set in that agreement. To the extent permitted by applicable law, our aggregate liability for any single incident shall not exceed the fees paid by you in the three calendar months preceding the event giving rise to the claim.
Term & termination
The service runs on a monthly managed-service basis per tenant. Either party may end the engagement by giving thirty (30) days' written notice unless a shorter or longer notice period is specified in the per-client agreement. On termination we follow the return-and-deletion terms of the DPA.
Governing law & jurisdiction
These Terms and any per-client agreement are governed by Romanian law and the applicable provisions of the EU GDPR. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Romania. The contracting entity is ICS4BIZ & IT SRL, company reg. no. 40365405, Romania.
